Terms of service
1. Scope
These terms govern the use of the file portal files.chip-tools.com operated by Chip-Tools SRL (the "provider"). The service is offered only to businesses (workshops, tuners, dealers). By registering you confirm that you act in the course of your business and not as a consumer.
2. Account
You give correct data and keep your access confidential; you are responsible for activity under your account. The provider may approve or refuse registrations and suspend accounts in case of misuse or unpaid amounts.
3. Service
You upload the reading of a control unit and choose the requested work; the provider delivers a modified file through the portal. Indicated times are estimates. If a job cannot be done, the amount paid for it is credited back to your account.
4. Prices, credit and invoices
Prices are those shown in the portal at the time of the order. Jobs are paid from a prepaid credit; top-ups are invoiced. VAT is charged according to law; supplies without VAT under the reverse-charge procedure require a VAT number confirmed by the EU VIES system. Credit is not paid out in cash and is not transferable.
5. Lawful use — your responsibility
Modifications to engine or transmission software, and in particular to emission-related systems (for example DPF, EGR, SCR/AdBlue, lambda), can make a vehicle non-compliant with type-approval and road traffic law and void warranties or insurance. You alone decide on and are responsible for the use of the files, for informing the vehicle owner, for any registration or approval required, and for complying with the law of the country where the vehicle is used. Where the law requires it, modified files are intended exclusively for off-road or motorsport use. You confirm that you have the right to send us the readings and the vehicle data.
6. Technical handling
You are responsible for reading and writing the control unit correctly, for a stable power supply, for keeping the original file and for following the technician's notes. The provider checks the files with care but cannot know the condition of the individual vehicle.
7. Corrections
If a delivered file does not work as agreed, report it through the job in the portal: the provider will correct the same job at no extra cost.
8. Liability
The provider is liable without limitation for intent and gross negligence and where mandatory law provides so. Otherwise liability is limited to the amount paid for the job concerned; liability for indirect damage, lost profit and damage caused by the condition, use or handling of the vehicle is excluded.
9. Intellectual property
Modified files may be used only for the vehicle (VIN) they were made for. Resale, publication or reuse for other vehicles is not allowed.
10. Data protection
Personal data is processed as described in the privacy policy. The provider may use technical data that does not identify persons (for example engine and control unit types) to improve its database.
11. Changes
The provider may change these terms; changes are announced in the portal and apply to orders placed after the announcement.
12. Law and jurisdiction
Romanian law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Courts competent for the registered office of Chip-Tools SRL have jurisdiction, unless mandatory law provides otherwise.
